01 Agreement to these terms
These Terms & Conditions ("Terms") govern your access to and use of the website at sher-staff.com (the "Site") and the staffing, recruiting, and workforce services provided by Sher-Staff LLC ("Sher-Staff," "we," "us," or "our"), 27801 Euclid Ave., Suite 420, Euclid, OH 44132.
By accessing the Site or engaging our services, you agree to be bound by these Terms. If you are accepting on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree to these Terms, do not use the Site or the services.
Specific engagements — including scope, pricing, and any guarantees — are governed by a separate written services agreement or order form ("Services Agreement"). If these Terms conflict with a signed Services Agreement, the Services Agreement controls.
02 Our services
Sher-Staff provides staffing and workforce solutions to employers, including:
- Healthcare staffing — sourcing, screening, and placement of qualified, credential-verified candidates for healthcare facilities;
- General staffing and recruiting — candidate sourcing, screening, and workforce services for employers across industries; and
- Staffing technology — software tools we develop to support recruiting operations, which may be offered to clients as they become available.
The services available to you, and the terms on which they are provided, are set out in your Services Agreement.
03 Use of the Site
You agree not to: (a) use the Site for any unlawful purpose; (b) attempt to gain unauthorized access to any systems or data; (c) scrape, copy, or redistribute Site content for commercial purposes without our written consent; or (d) interfere with the operation or security of the Site.
Information on the Site is provided for general purposes and does not constitute an offer capable of acceptance; engagements are formed only through a signed Services Agreement.
04 Fees and payment
Fees for services are set out in your Services Agreement or the applicable invoice. Except where a signed Services Agreement states otherwise: fees are due within the payment terms stated on the invoice; fees are exclusive of applicable taxes, which are your responsibility; and we may suspend services for accounts with overdue balances after reasonable notice.
05 Candidates and hiring decisions
Candidates we refer or place are not employees of Sher-Staff unless your Services Agreement expressly states otherwise. We screen candidates with reasonable care against available sources, but you remain responsible for your own onboarding, background, and compliance checks required by law or your policies, and for all hiring decisions, which must be made in compliance with applicable employment and anti-discrimination laws.
You agree to use candidate information you receive from us solely for evaluating candidates for employment, and to handle it in compliance with applicable privacy and employment laws.
06 Intellectual property
The Site and all related software, designs, logos, and content are owned by Sher-Staff LLC or its licensors and are protected by intellectual-property laws. No rights are granted except as expressly set out in these Terms or a Services Agreement.
07 Confidentiality
Each party may receive non-public information from the other in the course of an engagement — including pricing, candidate details, and business operations. Each party agrees to use the other's confidential information only as needed to perform under these Terms or a Services Agreement, and not to disclose it to third parties except as required by law.
08 Disclaimers
The Site and services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that any particular position will be filled within a particular time, or that any candidate will accept an offer or remain employed, except as expressly provided in a signed Services Agreement.
09 Limitation of liability
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising out of or related to these Terms or the services. Except for payment obligations, breaches of confidentiality, or liability that cannot be limited by law, each party's total aggregate liability arising out of these Terms will not exceed the fees paid or payable to Sher-Staff in the twelve (12) months preceding the event giving rise to the claim.
10 Termination
You may stop using the Site at any time. Service engagements terminate in accordance with your Services Agreement. We may suspend or terminate access to the Site or services for material breach of these Terms if the breach is not cured within a reasonable period after notice. Sections that by their nature should survive termination — including fees owed, confidentiality, intellectual property, disclaimers, and limitation of liability — survive.
11 Governing law and disputes
These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-laws principles, unless your Services Agreement specifies otherwise. The parties will first attempt in good faith to resolve any dispute informally by contacting one another. Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in Cuyahoga County, Ohio, and each party consents to their jurisdiction.
12 Changes to these terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page, and material changes will be communicated to active clients by email. Continued use of the Site or services after changes take effect constitutes acceptance of the revised Terms.
